You acknowledge and agree that you have read these Terms & Conditions carefully and in their entirety before using www.BetweenSoulfulHearts.com (hereinafter referred to as the “Site”). The Site and its Content are owned by The Aligned Journey, Inc., dba Between Soulful Hearts (hereafter, the “Company”).

These Terms of Use are here to clearly explain, outline, and layout the rules, terms, and conditions of using, viewing, and browsing the Site or purchasing or downloading any course, program, service, or product offered on or by Company or the Site.

You, each user, and registrant are hereby required to review these documents prior to using the Site or registering for any program. By accessing, using, or purchasing from the Site, you acknowledge and agree that you have read, understood, and accepted all terms, conditions, and policies, including but not limited to the Disclaimer, Terms of Use, and Privacy Policy (hereafter, “Site Policies”) whether or not you have reviewed them in full.

These Terms of Use contain an Arbitration Clause and require you to dispute or resolve any claim with us through Arbitration. By agreeing to these Terms of Use, you agree to the Arbitration Clause in Paragraph No. 18 and voluntarily waive your right to a jury trial.

By proceeding on the Site, you hereby agree to the following:

“Company”, “We”, “I”, “Our”, or “Us” means The Aligned Journey, Inc., dba Between Soulful Hearts and the Site, www.BetweenSoulfulHearts.com, and any employee and assigns, including but not limited to Dr. Diane Robertson.

“Content” means any and all text, images, videos, or audio recordings contained on the Site, including, but not limited to, emails and other communications distributed by the Company or via the Site, all downloadable materials that are purchased, viewed, or otherwise offered on the Site, and all blog posts, newsletters, communications, platforms, graphics, designs, documents, information, video, audio, recording, templates, and materials.

“Products and Services” means the Site, www.BetweenSoulfulHearts.com, and all Content, and associated offerings, including but not limited to email lists and newsletters, social media content, blog posts, courses, coaching services, guides, eBooks, forms, worksheets, workbooks, website materials, videos, and any other educational materials and information made available through the Site, all associated platforms and communication channels, interactive areas, emails, blogs, virtual discussions, bulletin boards, virtual calls, virtual meeting platforms, and any other electronic communications facilitated through the Site or operated by the Company.

“Site” means www.BetweenSoulfulHearts.com and any and all of the Company’s associated pages, tabs, landing pages, forms, or sub-pages.

“You” or “Your” means the visitor, user, customer, registrant, or viewer of the Site.

2. Consent:

By using the Site or any Products and Services, you knowingly and voluntarily agree to act in accordance with, and abide by, these Terms of Use, and all other Site Policies.

By using or viewing the Site or any Products or Services, you represent and warrant that you are 18 years old or older. Any use of, or access to, the Site and its Content by anyone under the age of 18 is unauthorized and in direct violation of these Terms of Use, and other Site Policies.

• Post copyrighted materials, Company Content, or other content which does not belong to you.

• Promote or sell your own content, services, or products through the Site, or the content, services, or products of anyone else other than us.

• Copy, download, share, post, reproduce or transmit, in any form or by any means, digital or mechanical, our intellectual property in any way that infringes on our intellectual property rights.

The Site may include interactive areas such as comments, blogs, forums, emails, virtual discussions, bulletin boards, and other communication features. You acknowledge that any information shared in these areas is publicly visible. Please see our Privacy Policy, for notices, obligations, and restrictions on the information that is shared publicly on such interactive areas. That document is hereby incorporated by reference. We do not control and are not responsible for the content, conduct, or communications of any users in these spaces.

We reserve the right, at our sole discretion, to monitor, remove, restrict access to, cancel, omit, or unregister any user, content, or participation in any interactive area, program, or communication channel that we deem inappropriate, unlawful, harmful, or inconsistent with our standards, without notice.

Dr. Diane Robertson is a mental health professional, but she is not your mental health professional. You agree to discuss any and all mental health, emotional, psychological, or physiological concerns or changes with a third party licensed mental health professional, physician, or other qualified medical professional to address these concerns. Company Content and all Company communications, including but not limited to those in interactive areas, emails, blogs, virtual discussions, bulletin boards, and virtual calls are for informational, educational, and entertainment purposes only, and is based on third party research or Company employees’ personal experiences. Our Content is not a substitute for professional advice, care, or treatment. Communications do not constitute therapy, treatment, diagnosis, assessment. We do not respond to or address individual clinical situations through any means, including comments, messages, or public forums.

We reserve the right to change, amend, or otherwise alter these Terms of Use at any time without providing notice to you. When changes are made to these Terms of Use, we will update them on the Site, and indicate so via the “Updated on” date at the bottom of this page. If you do not agree with these Terms of Use, you are hereby prohibited from using our Site, reading or implementing its Content, or purchasing or downloading any Products and Services from us.

The Site may contain or include website URL links to third-party or external websites. Typically, these URL links are provided so that you may directly access a site that contains relevant information. Company is not liable for any of the information contained on or within the third-party or external websites. We are not responsible for the way they handle your personal information, whether they have a privacy policy, or any information you provide to them by visiting their website. Any information, materials, or content on this Site may not be copied, reproduced, distributed, republished, uploaded, posted, or transmitted in any way without the prior expressed written consent of the Company, Dr. Diane Robertson, or another authorized Company representative. Unauthorized use will result in legal action.

8. Grant of Limited License to You:

Upon purchase of any Content or Products and Services, you shall become a limited licensee (“Licensee”). As a Licensee, you hereby agree and understand that the Site, Content, and Products and Services have been written, created, drafted, invented, and developed by us after a significant investment of time, money, education, hard work, and brainpower. The Site, Content, and Products and Services are extremely valuable to us, both professionally and personally, and we take the protection of our Site, Content, and Products and Services very seriously.

You may not use or view the Site, Content, and Products and Services in any manner that is unauthorized, improper, against these Terms of Use or our Privacy Policy, or which violate U.S. intellectual property laws unless authorized by us in writing beforehand. Your use of the Site, Content, and Products and Services is hereby limited to the terms and conditions of use stated herein.

By commenting, contributing, publishing, or otherwise providing Company with any information on the Site, or submitting documents to the Company via contact form, email, or social media, you represent that you are the lawful owner of said documents, statements, and the information they contain. You may share the Site for personal purposes, such as in personal social media posts, but must link directly to the Site. You are required to give us and the Site credit by linking to the Site and its Content if you share it on social media or your own website, including reposting of any photographs. Since the Site and its Content are not yours, you may not in any way imply or represent that the Site or its Content are yours or that you in any way created, caused, or contributed to the Site or its Content, or any other representations or warranties of any employment, representation, or business relationship between you and the Company. You may not make any claims that you are in any way associated with The Aligned Journey, Inc. dba Between Soulful Hearts.

Any and all current or past-participant testimonials, statements, or examples used by us are purely opinion. There are no guarantees that you will experience or receive any specific results in your use of the Site, Content, and Products and Services. Each participant and their circumstances are unique, and nothing shall be interpreted as a guarantee that you will experience the same results as another participant in our program, courses or other Products and Services.

13. Professional Rights & Conduct

The Company, Dr. Diane Robertson, and their representatives hereby reserve and retain the right to discuss, interpret, opine about, and disseminate information derived from your use of the Site, Content, and Products and Services, her professional experience, as well as any scientific research and theory, or continuing education.

Differences in interpretation, understanding, implications, or conclusions regarding information presented do not constitute misconduct, ethical or otherwise, as it is drawn from professional experience, anecdotal experience, empirical, scientific, or research-based data.

Any attempts to harass, intimidate, defame, or damage the professional reputation of Company, its employees, and Dr. Diane Robertson, including misuse of reporting systems or misrepresentation of content, will be documented and pursued through appropriate legal and regulatory channels.

All information provided in the Privacy Policy, Disclaimer, and Terms of Use constitute legally binding terms. You hereby acknowledge that you have read and agree to all Site Policies prior to using the Site, Content, and Products and Services, or registering for any course or program.

14. No Warrantees, Guarantees, or Representations:

We do not offer any warranties, of any variety, regarding the Site, Content, and Products and Services. The Site, Content, and Products and Services are offered “AS IS” and without warranties of any kind, neither express nor implied, to the extent permitted by law.

15. Release:

By using the Site, Content, and Products and Services, or any other Company materials, you hereby release, forgive, and forever discharge Company, its subsidiaries, employees, agents, contractors, subcontractors, and affiliates from any and all claims, suits, actions, charges, demands, liabilities, damages, judgments, and costs, whether known or unknown, both legal and equitable in any manner.

16. Errors & Omissions:

Every effort is made to provide up-to-date accurate information both on the Site and through our services. However, due to the complexity of the issues we cover, Company does not and cannot warrant, represent, or guarantee that such information is free from errors, accurate, or up to date at all times. You agree to do your own due diligence, or research, to determine the accuracy and timeliness of the information you gain, and to confirm the applicability to you of information you receive, before you act upon, or rely on, any such information from Company and this Site, Content, and Products and Services.

17. Our Refund Policy:

Refunds will not be issued under any circumstances, for any Content, Products and Services, courses, materials or other purchases or transactions already exchanged.

18. ARBITRATION CLAUSE:

Any complaint or claim or other issue arising out of the use of the Site, Content, and Products and Services or any other actions of The Aligned Journey, Inc., dba Between Soulful Hearts shall be attempted to be resolved first by contacting us directly at info@BetweenSoulfulHearts.com.

If after this first contact, we are unable to amicably resolve your dispute, you hereby agree that you and Company shall submit your dispute to binding arbitration with the American Arbitration Association, before an arbitrator that is mutually agreed upon, in accordance with the American Arbitration Association’s (“AAA”) rules.

By agreeing to this term, you hereby agree and understand that you’re waiving your right to a jury trial in court, which would otherwise be available to you if not for this Arbitration Clause. Should any arbitration hearing need to be held, it shall be held within the appropriate court, venue, and jurisdiction located in Palm Beach County, Florida.

If the arbitrator issues an award or a judgment is made, the judgment will be binding and will be entered in court in the State of Florida. You agree that the only award that can be issued to you for any damages should your claim be successful is a refund of the payments made by you to The Aligned Journey, Inc., dba Between Soulful Hearts for your purchased Products and Services. You agree not to seek additional damages, including consequential or punitive damages, or other.

19. Consent to Governing Law:

These Terms of Use, and any dispute arising out of it, shall be governed by the laws of the State of Florida.

20. Consent to Jurisdiction:

You hereby irrevocably consent to the exclusive jurisdiction and venue of any County, State or Federal Court in the United States District Court for the Southern District of Florida, or a state court located within Palm Beach County or the State of Florida in connection with any matter arising out of these Terms of Use, Privacy Policy, Disclaimer, or as a result of your use of the Site, Content, and Products and Services.

21. Consent to Service:

You hereby irrevocably agree that process may be served on you in any manner authorized by the Laws of the State of Florida for such persons, and you waive any objection which you might otherwise have to service of process under the laws of the State of Florida.

22. Payment & Purchases:

When you purchase any Content or Products and Services from Company or the Site, you may be required to pay by using a third-party payment service such as PayPal or other Merchant Services on the Site. By doing so, you give The Aligned Journey, Inc., dba Between Soulful Hearts permission to automatically charge your credit card for payment. You will receive an electronic receipt following your purchase, which you agree to retain for your records. No refunds will ever be issued for any payments made to Company, under any circumstances, to which you acknowledge and agree.

If your payment method fails or is otherwise declined, you will be removed from, or canceled from having access to our Site, Content, and Products and Services. Please note, in the event your payment method is declined at any time, you are still responsible for the full cost of your purchase.

We do not accept any chargeback threats (real or threatened). If any chargebacks are placed on a purchase of our Content, and Products and Services, we will report said incident to the major credit reporting agencies. Doing so could have a negative impact on your credit report or credit score. Should we be required to remove such reports from your credit report, please contact us to arrange for payment owed. Once payment owed is received, we will make the appropriate reports to the credit agencies.

Payment processing companies may have different privacy policies and practices than we do. We are not responsible for the policies of the payment processing companies. As with any online purchase, there are circumstances beyond our control which may compromise your credit card or payment method. We are not liable or responsible for any of those circumstances. You hereby indemnify and hold Company harmless for any liability that may result from a third-party compromise of your credit card security.

You hereby release us from any and all damages related to your payment or use of our payment processing companies in which you incur and further agree not to assert any claims against us or them for any damages which arise from your purchase or use of our Site, Content, and Products and Services.

23. Limitation of Liability:

The Aligned Journey, Inc., dba Between Soulful Hearts is not responsible or liable in any way for any and all damages you receive directly or indirectly from your use, purchase, or download from our Site, Content, and Products and Services. We do not assume liability for damages, injuries, harm, death, misuse of (or failure to properly use) information or documents, due to any act, or failure to act, by you. Notwithstanding anything to the contrary contained herein, your sole and exclusive remedy for negligence, failure to perform, or breach by us shall be a refund of the amount paid for such service or product. IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

24. Defense & Indemnification

You hereby, and shall continue to, indemnify, defend, and hold harmless The Aligned Journey, Inc., dba Between Soulful Hearts, Dr. Diane Robertson, and all of our shareholders, officers, members, affiliates, contractors, subcontractors, directors, assignees, employees, and licensees from and against all losses, damages, injuries, delays, deaths, lost profits, and expenses arising out of any proceeding (a) brought by either a third-party or The Aligned Journey, Inc., dba Between Soulful Hearts and Dr. Diane Robertson, (b) arising out of your breach of your obligations, representations, warranties, or covenants under these Terms of Use or the Privacy Policy, and (c) arising out of any alleged breach or negligence said to have been committed by us.

25. Termination of Your Use

At our sole discretion, we are permitted to terminate your use or access to the Site, Content, and Products and Services if you abuse, violate, or breach any of these Terms of Use Privacy Policy, Disclaimer, or any other terms to which you have agreed to. This includes, but is not limited to, inappropriate behavior, misuse of interactive areas, harmful or disruptive communication, or any conduct that violates the intent or integrity of the Site, Content, and Products and Services.
